END USER LICENSE AGREEMENT (EULA) FOR GUITAROCRACY – KONTAKT INSTRUMENT

Please read this End User License Agreement (“EULA“) carefully before installing, downloading, or using the Kontakt Instrument product (including any software, sound libraries, samples, instruments, presets, documentation, and related materials, collectively the “Product”) provided by DO Studios LLC. This EULA is a legal agreement between you (the “Licensee” or “You”) and DO Studios LLC, a Texas limited liability company located in Texas, United States (“Licensor,” “We,” “Us,” or “Our”).
By installing, copying, accessing, or otherwise using the Product, You agree to be bound by the terms of this EULA. If You do not agree to these terms, do not install, copy, or use the Product. The Product is licensed, not sold, to You.
1. Grant of License

Subject to Your compliance with this EULA, Licensor grants You a non-exclusive, non-transferable, revocable, limited license, without the right to sublicense, to:
- Install and use the Product on up to three (3) computers or devices that You own or control, provided that the Product is used on only one device at a time (unless for backup purposes).
- Use the Product solely for Your personal or commercial music and audio productions, including incorporating samples, instruments, and presets into layered musical compositions (e.g., tracks, scores, or soundtracks).
- Create and distribute musical works that incorporate elements of the Product, without additional royalties or fees, provided such use complies with the restrictions below.
This license requires a compatible version of Native Instruments Kontakt software (full version recommended; Kontakt Player may be supported if the Product is encoded for it). The Product may not function without Kontakt, and You are responsible for obtaining and complying with Native Instruments’ terms.
2. Restrictions

You may not, and You agree not to permit others to:
- Copy, reproduce, distribute, rent, lease, lend, sell, assign, transfer, or sublicense the Product or any part thereof (including samples, instruments, presets, or scripts) to any third party, except as expressly permitted herein.
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Product or any part thereof.
- Use the Product or its components (e.g., samples, sound sets, or audio loops) to create, develop, or distribute any new sound library, virtual instrument, sample-based product, synthesizer, or competitive musical instrument, whether commercially or otherwise.
- Repackage, redistribute, or resell individual samples, sounds, or elements of the Product standalone or as part of another product.
- Remove, alter, or obscure any copyright notices, trademarks, serial numbers, watermarks, or other proprietary markings on the Product.
- Use the Product for data mining, machine learning, artificial intelligence training, or any generative AI purposes without Our prior written consent.
- Upload, download, or transmit the Product to or from any server, database, or network without Our express permission.
- Use the Product in any manner that violates applicable laws, including but not limited to unlawful distribution or exploitation.
Occasional use by a third party is permitted only if essential for Your licensed use (e.g., collaboration on a project), but You remain responsible for ensuring compliance and are liable for any breaches. “Not For Resale” (NFR) or demo versions, if provided, are for evaluation, testing, or demonstration only and may not be used commercially, resold, or transferred.
3. Ownership and Intellectual Property

All right, title, and interest in and to the Product, including all copyrights, trademarks, trade secrets, and other intellectual property rights, remain solely with Licensor and/or its third-party suppliers (e.g., Native Instruments for any integrated components). You acquire no ownership rights in the Product—only the limited license granted herein. Licensor reserves all rights not expressly granted to You. The Product may include watermarks or unique identifiers traceable to You for enforcement purposes.
4. Warranties and Disclaimers

THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPATIBILITY, SECURITY, OR THAT THE PRODUCT WILL BE ERROR-FREE, UNINTERRUPTED. LICENSOR DOES NOT WARRANT THAT THE PRODUCT WILL MEET YOUR REQUIREMENTS, OPERATE WITH YOUR HARDWARE/SOFTWARE, OR ACHIEVE ANY INTENDED RESULTS. YOU ASSUME ALL RISK ASSOCIATED WITH THE QUALITY, PERFORMANCE, INSTALLATION, AND USE OF THE PRODUCT.
No oral or written information or advice given by Licensor or its representatives shall create a warranty. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to You, but they shall apply to the maximum extent permitted by law.
5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO THIS EULA OR YOUR USE OF OR INABILITY TO USE THE PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT.
Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so the above limitations may not apply to You, but they shall apply to the maximum extent permitted by law. You agree to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from Your misuse of the Product or violation of this EULA.
6. Termination
EULA: End User License Agreement
This EULA is effective until terminated. It will terminate automatically, without notice, if You fail to comply with any provision herein. Upon termination, You must immediately cease all use of the Product, destroy all copies (including backups), and uninstall it from all devices.
Sections 2 (Restrictions), 3 (Ownership), 4 (Disclaimers), 5 (Limitation of Liability), 7 (Governing Law), and 8 (Miscellaneous) shall survive termination. Licensor may also terminate this EULA at any time for any reason, upon notice to You.
7. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of laws principles. Any disputes, claims, or actions arising out of or relating to this EULA or the Product shall be exclusively resolved in the state or federal courts located in Texas. You consent to the personal jurisdiction and venue of such courts and waive any objection based on an inconvenient forum. This EULA complies with United States federal law and Texas state law. If any provision conflicts with mandatory consumer protection laws in Your jurisdiction, it shall be enforced to the extent permissible.
8. Miscellaneous

- Severability: If any provision of this EULA is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid one that achieves the original intent as closely as possible.
- Entire Agreement: This EULA constitutes the entire agreement between You and Licensor regarding the Product and supersedes all prior agreements, understandings, or representations.
- Amendments: Licensor may amend this EULA at any time by posting the updated version on Our website or notifying You. Continued use of the Product after amendments constitutes acceptance.
- No Waiver: Failure to enforce any provision shall not constitute a waiver.
- Assignment: You may not assign this EULA without Licensor’s prior written consent. Licensor may assign it without notice.
- Third-Party Terms: The Product may incorporate third-party software (e.g., Native Instruments components), subject to their respective licenses, which You agree to comply with.
